7. DiDiCar's Role and Independent Workshops
DiDiCar operates the Platform as a technology and facilitation platform. Unless expressly stated otherwise, DiDiCar is not a vehicle repair workshop, does not itself perform vehicle repairs and does not employ or control participating Workshops.
Each Workshop operates as an independent business and is solely responsible for its services, including:
· vehicle inspection and diagnosis;
· quotations and pricing;
· workmanship and repair quality;
· parts supplied or installed;
· warranties and after-sales service;
· compliance with applicable laws and requirements; and
· the conduct of its employees, contractors and representatives.
Direct relationship Any repair, maintenance or other automotive service agreement is entered into between the User and the relevant Workshop. DiDiCar's involvement is generally limited to facilitating access to the Platform and related platform functions.
8. Platform Availability
DiDiCar aims to make the Platform reasonably available but does not guarantee uninterrupted, continuous or error-free access.
The Platform may be unavailable or restricted due to:
· maintenance or upgrades;
· server, hosting or technical issues;
· internet or telecommunications disruptions;
· cybersecurity incidents;
· third-party service failures; or
· force majeure events.
Restoration DiDiCar will use reasonable efforts to restore affected Services as soon as reasonably practicable.

· Smart Maintenance Reminder;
· Driving Behaviour Analysis;
· Driving Score;
· Emergency SOS;
· Guardian Location Sharing;

· future AI services.
Nature of AI Services AI Services are provided as automated assistance and are not a substitute for professional mechanical, engineering, financial, insurance, legal, medical or emergency advice.
10. AI Services Disclaimer
AI-generated information may be based on information supplied by the User, information available through the Platform and automated analysis. AI outputs may contain errors, omissions, inaccuracies or outdated information and may not be suitable for every situation.
Users should:
· independently verify important information;
· consult a qualified mechanic before undertaking repairs or safety-critical work;
· seek appropriate professional advice where necessary; and
· contact relevant emergency services where an emergency requires immediate assistance.
Reliance Users should not rely solely on AI-generated information when making safety-critical, repair, financial, insurance or other material decisions.
Emergency and Safety-Critical Information
AI Services, including Emergency SOS and any AI-generated safety-related information, are not emergency response services and must not be relied upon as a substitute for contacting the appropriate emergency authorities or obtaining professional assistance.
Where an emergency involves an immediate risk to life, personal safety, health or property, Users must contact the appropriate emergency authority or service directly. DiDiCar does not guarantee the accuracy, completeness, availability, transmission, receipt or response to any emergency alert, location information, AI-generated information or safety-related notification.
11. Emergency SOS Service
11.1 Nature of Emergency SOS
Emergency SOS is a technology-enabled safety assistance feature made available through the DiDiCar Platform. Depending on the version of the Service and the User’s device, Emergency SOS may allow the User to initiate an emergency alert, transmit certain available information, share location information with designated persons, or facilitate communication with relevant third-party emergency or assistance services.
Emergency SOS is provided as a facilitation and communication feature only. It is not an emergency response service, rescue service, ambulance service, police service, fire and rescue service, medical service, security service or roadside recovery service.
11.2 No Guarantee of Emergency Response
The User acknowledges and agrees that DiDiCar does not guarantee that:
· an Emergency SOS alert will be successfully activated or transmitted;
· the User’s location will be accurately identified or continuously updated;
· an emergency contact will receive, read or respond to an alert;
· any third-party emergency service, authority, rescue organisation or service provider will receive or respond to an alert;
· emergency assistance, rescue, medical treatment, transportation or other assistance will be provided;
· assistance will arrive within any particular period; or
· the Emergency SOS feature will operate without interruption, delay, error or failure.
11.3 Emergency Services Must Be Contacted Directly
Emergency SOS is not a substitute for contacting the appropriate emergency authorities directly.
Where an emergency presents an immediate risk to life, personal safety, health or property, the User must contact the appropriate emergency service or authority directly, including the relevant Malaysian emergency number or other appropriate emergency channel.
The User must not rely solely on Emergency SOS where immediate assistance is required.
11.4 User Responsibility
The User is responsible for using Emergency SOS appropriately and must:
· activate the feature only where reasonably necessary;
· ensure that the User’s device has sufficient battery power and is functioning properly;
· enable and maintain the required location, notification, communication and other device permissions;
· maintain a functioning mobile network, internet connection or other required connectivity;
· keep emergency contact information accurate and up to date;
· ensure that designated emergency contacts have agreed, where appropriate, to receive such communications;
· provide accurate information when activating or configuring Emergency SOS; and
· take reasonable steps to contact emergency authorities directly where the circumstances require immediate assistance.
11.5 Device, Network and Location Limitations
Emergency SOS may depend on the User’s device, operating system, GPS or other location technology, mobile network, internet connection, telecommunications provider, cloud infrastructure, third-party software, mapping services and other systems outside DiDiCar’s control.
Accordingly, Emergency SOS may fail, be delayed, provide inaccurate or incomplete location information, or become unavailable due to circumstances including:

· poor or unavailable mobile coverage;
· internet or telecommunications interruption;
· device malfunction or damage;
· insufficient battery power;
· incorrect device settings;
· disabled permissions;
· inaccurate information supplied by the User;

· server or cloud service interruption;
· cybersecurity incidents;
· geographical or environmental conditions; or
· circumstances beyond DiDiCar’s reasonable control.
11.6 Emergency Contacts
Where Emergency SOS allows a User to designate emergency contacts, the User authorises DiDiCar, subject to applicable law and the applicable feature configuration, to communicate relevant emergency information to those designated contacts.
The User is responsible for ensuring that the emergency contact details provided are accurate and current.
DiDiCar does not guarantee that an emergency contact will be reachable, available, located in a suitable position to assist, or capable of providing assistance.
11.7 Third-Party Emergency or Assistance Services
Where Emergency SOS connects, communicates or interfaces with any third-party emergency, roadside assistance, telecommunications, mapping, messaging or other service provider, such third party operates independently from DiDiCar.
DiDiCar does not control and is not responsible for the availability, response time, conduct, decisions, instructions, performance or failure of any such third party.
Any services provided by such third party may be subject to the third party’s own terms, policies and limitations.
11.8 False, Accidental or Improper Activation
The User must not intentionally misuse, test, trigger or activate Emergency SOS in a manner that is false, misleading, abusive, fraudulent or reasonably likely to cause unnecessary emergency response, communication or resource deployment.
Where an Emergency SOS alert is activated accidentally, the User should cancel or deactivate the alert where the feature permits and, where appropriate, inform the relevant emergency contact or third-party service that the activation was accidental.
DiDiCar may suspend, restrict or terminate access to Emergency SOS or the User’s Account where there is evidence of repeated, fraudulent, abusive or improper use, subject to applicable law.
11.9 User’s Own Safety Decisions
The User remains responsible for assessing the circumstances of an emergency and taking appropriate action to protect their own safety and the safety of others.
Emergency SOS information or alerts should not be treated as confirmation that assistance has been dispatched or that an emergency has been successfully reported.
The User should not delay contacting emergency authorities or taking reasonable safety measures while waiting for an Emergency SOS alert to be transmitted, acknowledged or acted upon.
11.10 Limitation of Liability – Emergency SOS
To the fullest extent permitted by applicable Malaysian law, DiDiCar shall not be liable for any loss, injury, death, damage, delay, expense, claim or liability arising directly or indirectly from:
· the activation, attempted activation or failure to activate Emergency SOS;
· failure, delay or interruption in transmitting an Emergency SOS alert;
· inaccurate, incomplete, outdated or unavailable location information;
· failure of GPS, mobile networks, telecommunications, internet services or other communication systems;
· failure of an emergency contact to receive, read or respond to an alert;
· failure, delay or conduct of any emergency authority, rescue organisation, roadside assistance provider, insurer, telecommunications provider or other third party;
· any inability to obtain emergency assistance;
· reliance by the User or another person on an Emergency SOS alert, location or other information;
· accidental, false, unauthorised or improper activation of Emergency SOS; or
· any circumstance beyond DiDiCar’s reasonable control.
Nothing in this Clause excludes, restricts or limits any liability, right or remedy that cannot lawfully be excluded, restricted or limited under applicable Malaysian law.

Participating Workshops are responsible for:
· providing accurate business and service information;
· preparing quotations and explaining repair requirements;

· handling after-sales matters relating to their services.

Repair quotations displayed or provided through the Platform are prepared by the relevant Workshop. A quotation may change if additional faults, hidden damage, additional parts or additional work are identified, or if the User requests additional services.
Where reasonably practicable, the Workshop should obtain the User's approval before carrying out additional chargeable work. Where immediate action is reasonably necessary for safety or to prevent further damage, the Workshop should communicate with the User as soon as reasonably practicable.
Users should review quotations carefully before approving work.

· online banking; and
· other payment methods introduced from time to time.
Payment processing. Payments may be processed by authorised Payment Partners. DiDiCar does not store complete payment card information unless required by law or securely managed through appropriate payment partners.
Service disputes. Payment does not by itself constitute confirmation that an underlying Workshop service has been properly performed. Service-related disputes remain subject to the applicable dispute and refund procedures.
Invoice Submission. Where applicable, Users may be requested to upload a copy of the Workshop's invoice or receipt after completing a transaction through the DiDiCar Platform. Users are responsible for ensuring that any uploaded invoice or receipt is accurate and relates to the relevant transaction. Submission of an invoice or receipt may be required to qualify for certain Loyalty Points, rewards, promotions or other benefits offered through the Platform.
16. DiDiCar as Collection Agent
Where a payment is made through the Platform, DiDiCar may act as a collection agent on behalf of a participating Workshop, where applicable.
Subject to applicable law and the relevant transaction arrangement, payment made by a User to DiDiCar for a Workshop transaction may be treated as payment made to the Workshop.
DiDiCar may deduct or retain agreed Platform fees, commissions, taxes, refunds, chargebacks or other authorised amounts before remitting the applicable balance to the Workshop.
DiDiCar may temporarily withhold or delay settlement where reasonably necessary for:
· fraud or security investigations;
· payment verification;

· complaint or dispute investigations;
· refund processing; or
· compliance with legal or regulatory obligations.

· DiDiCar is not a bank, lender, financing provider, insurer or takaful operator unless expressly stated otherwise;
· DiDiCar does not guarantee approval of any financing or insurance application; and
· the terms governing a financing or insurance product are set out in the separate agreement, policy or product terms applicable to that product.
INPL and RNPL Where DiDiCar facilitates an INPL or RNPL application, the User must accept the applicable INPL or RNPL Terms & Conditions and provide any required electronic consent or authorisation before the relevant financing transaction is processed.
Separate product terms The specific INPL or RNPL terms govern the relevant application, including financing amount, disbursement arrangements, payment flow, cancellation, refund and other product-specific matters.

The invoice or receipt should clearly identify, where applicable, the Workshop, vehicle, services performed, transaction amount and transaction date.

DiDiCar reserves the right to reject or withhold Loyalty Points where the invoice or receipt is incomplete, invalid, duplicated, altered, inconsistent with the transaction records, or otherwise does not satisfy the applicable Loyalty Points Programme requirements.

Loyalty Points will only be credited after the applicable transaction and, where required, invoice or receipt have been successfully verified.
